Approval of the amended and restated Non-Employee Director Stock Plan

The matter

Holders are asked to approve the Apple Inc. Non-Employee Director Stock Plan as amended and restated, which the board approved on November 4, 2025 subject to this vote. The amendment extends the plan term to February 23, 2036 from its current November 13, 2027 expiry. Apple is not asking holders to increase the maximum number of shares issuable under the plan.
