Election of five directors to one-year terms

The matter

Holders elect five directors, each to serve a one-year term until a successor is elected and qualified. Because the number of nominees equals the number of seats, each nominee must receive more FOR votes than AGAINST votes to be elected. A director who receives more AGAINST than FOR votes is covered by the resignation process in the company's corporate governance guidelines.
